CNC MANUFACTURING TERMS AND CONDITIONS
(Production Orders – Website Quotes)
The CNC Manufacturing Terms and Conditions (“Terms”) govern all quotations, purchase orders, blanket orders, releases, and manufacturing services provided by Input CNC (“InputCNC,” “we,” “us,” or “our”), whether ordered through our website or otherwise. The website (www.InputCNC.com), and the tools, content, features, and services offered through it are known as the “Site”.
By submitting a design, requesting a quote, issuing a purchase order, or authorizing production, Customer agrees to be bound by these Terms. Any conflicting or additional terms proposed by Customer are expressly rejected unless agreed to in writing by InputCNC.
 
1. Scope of Manufacturing Services
InputCNC provides custom CNC machining and related manufacturing services (“Services”) strictly in accordance with Customer-supplied drawings, CAD files, specifications, material selections, and revision levels (“Designs”) via the Site, email, or any other method, for the purpose of utilizing our Services. You may only provide Designs for which you have the appropriate rights to utilize our Services; for example, even if you created a Design, you may not have the rights to use it because you granted those rights exclusively someone else, such as your employer or someone who hired you to create that Design.
All parts are custom, made-to-order, and not off-the-shelf products.

We may offer certain services on an invite-only basis until we deem those services ready for a broader audience. Just as with our Services generally, no one has the right to access any particular service regardless of their access to other of our services.

Any new features or tools which are added to the current  Site shall also be subject to these Terms.

InputCNC does not provide design, engineering, or product validation services unless expressly agreed to in writing.

 
2. Accounts, Quotes, Orders, and Acceptance

Services & Accounts

The InputCNC Services enable you to create an account, after which you may do one or more of the following, in each case subject to our approval: upload a Design to the Site; ship a physical template or drawing incorporating your Design to us; place an order with us which incorporates your Design.

We manufacture the items you order, subject to these Terms. We then ship your part(s) to the address you designate in your order transaction. Local pickup is also available on a case-by-case basis.

By agreeing to these Terms, you represent that you are at least 18 years of age, or that you are 18 years of age and you have given us your consent to allow any of your minor dependents to use the Site and its Services. We reserve the right to change the eligibility criteria for our Services, and to refuse service to anyone at any time.

You may not use our products for any illegal or unauthorized purpose, nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). A breach or violation of any of the Terms may result in an immediate termination of your access to the Services.

You must set up an account on our Site in order to use our Services. You are responsible for submitting and maintaining accurate and current information related to your account and for updating information as necessary.

You are solely responsible for the activity related to your account. You must not make your username or password available to others. InputCNC is not liable for loss or damage related to your failure to maintain the security of your account. You may delete your account at any time by contacting support@InputCNC.com.

Quotes are based on the information provided at the time of quotation and are valid only for the stated quantities, specifications, and time period.
Orders become binding upon acceptance by InputCNC or commencement of production, whichever occurs first. Production may begin immediately upon order placement.
Orders may not be canceled once production has begun.
 
3. Customer Design Responsibility
 
Customer is solely responsible for:
  • Design accuracy and completeness
  • Dimensions, tolerances, and material selection
  • Functional performance and end-use suitability
InputCNC relies entirely on Customer Designs and assumes no responsibility for errors, omissions, ambiguities, or design defects.
Any feedback, suggestions, or design observations provided by InputCNC are courtesy only and do not constitute design review, approval, or acceptance of responsibility.
 

3a. Intellectual Property Rights

As a designer, you retain ownership of the intellectual property rights over your Designs. We will never sell, distribute or publish your Design for profit without your permission. Before you upload a Design to the Site, you must ensure that the Design is your own original work, or that you have explicit permission from the third party or entity that owns the rights to the Design.

We reserve the right to delay or cancel an order if we suspect that a user is uploading a previously copyrighted Design or for which the appropriate permission has not been obtained. We also reserve the right to cancel an account if a user repeatedly uploads previously copyrighted Designs or otherwise violates a third party’s rights.

By uploading your file to the Site, you grant InputCNC permission to use your Design to manufacture your parts to complete your order. We may occasionally ask your permission to use your Design on the Site, social media accounts, and in our advertising.

InputCNC welcomes ways to improve our Services including any comments, suggestions, ideas, feedback, bug reports, or other information provided to us by you (“Feedback”). You hereby grant to us a world-wide, royalty free, irrevocable, perpetual license to use, exploit, and otherwise incorporate any Feedback in connection with the Services.

3b. Design Policy

Before you submit any order, you must make sure that your Design meets all of the requirements of our Design Policy. Uploading stolen, trademarked, inappropriate or illegal content is subject to cancellation of your order and, at InputCNC’s discretion, the termination of your account.

You certify that any Design provided to InputCNC:

  • Does not violate any local, state, or federal law or regulation;
  • Does not contain abusive, harassing, threatening, defamatory, obscene, fraudulent, deceptive, misleading, offensive, or pornographic materials or images;
  • Does not infringe any intellectual property rights, including but not limited to, patents, trademarks, company brands, team logos, etc.;
  • Is not designed or intended to be used for distribution of illegal drugs or controlled substances; and
  • Is not designed or intended to be used as an illegal weapon, firearm, or firearm accessory (e.g., “brass knuckles”, parts of firearms, etc.).

We will contact you by email within 72 (seventy-two) hours of receiving your order if we have concerns about the content of your Design.

InputCNC reserves the right to refuse or cancel any order at any time, and you will be contacted by email if we choose to do so.

If we ascertain that your Design does not comply with the InputCNC Design Policy before production has commenced, we reserve the right to cancel your order and refund your payment. If we determine that your Design does not comply with the InputCNC Design Policy once production has already begun, we reserve the right to cancel your order, and you may not receive a refund for your order

4. Manufacturing Standards and Tolerances
Unless otherwise specified in writing:
  • Parts are manufactured using commercially reasonable CNC machining practices
  • Undimensioned or untoleranced features may be produced at InputCNC’s discretion
  • Cosmetic appearance is not guaranteed
Minor variations inherent to CNC machining do not constitute non-conformance unless expressly prohibited in the Design.
 
5. Forecasts, Blanket Orders, and Material Commitments
Customer forecasts may be used by InputCNC for capacity planning and material procurement.
Customer agrees to purchase:
  • All finished goods produced pursuant to firm releases
  • All raw material and work-in-process procured based on Customer forecasts
Reductions or cancellations of forecasts may result in charges for excess or obsolete material.
 
6. Engineering Changes
All engineering changes must be submitted in writing with a new revision level.
Customer is responsible for all costs associated with engineering changes, including:
  • Scrap
  • Rework
  • Obsolete inventory
  • Tooling or programming modifications
InputCNC is not responsible for manufacturing to superseded or verbal revisions.
 
7. Materials, Yield, and Scrap
Customer acknowledges that CNC machining involves material removal, yield loss, and potential scrap.
InputCNC is not responsible for material loss or scrap provided parts are manufactured in accordance with the approved Design.
Material certifications are provided only if explicitly requested and quoted.
 
8. Tooling, Programs, and Manufacturing Assets
Unless otherwise agreed in writing:
  • CNC programs, fixtures, jigs, gauges, setups, and process documentation remain the exclusive property of InputCNC
  • Tooling charges are non-refundable
  • InputCNC is not responsible for normal wear, damage, or obsolescence
Customer-paid tooling may be retained on-site for the duration of the production relationship.
 
9. Pricing, Payment, and Chargebacks
Prices are subject to adjustment due to material cost fluctuations, tariffs, or changes in scope.
Payment disputes must be reported directly to InputCNC before initiating a chargeback. Fraudulent or abusive chargebacks may result in account termination and recovery of associated fees.
 
10. Delivery, Shipping, Title, and Risk of Loss
Delivery dates are estimates only and not guarantees.
Title and risk of loss transfer to Customer upon delivery of the goods to the carrier.
InputCNC is not responsible for carrier delays, damage, or loss after shipment, but will reasonably assist with claims.
 
11. Inspection, Acceptance, and Remedies
Customer must inspect all parts within ten (10) business days of receipt.
Written notice of non-conformance must be received within this inspection period. Failure to provide notice constitutes irrevocable acceptance.
InputCNC’s sole obligation is, at its option:
  • Repair
  • Replacement
  • Refund or credit of the affected parts only
No other remedies are available.
 
12. Warranty Disclaimer
InputCNC warrants only that parts will be manufactured in substantial conformance with Customer-supplied Designs at the time of shipment.
ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED.

YOU EXPRESSLY AGREE THAT YOUR USE OF, OR INABILITY TO USE, THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE AND ALL PRODUCTS AND SERVICES DELIVERED TO YOU THROUGH THE SERVICE ARE (EXCEPT AS EXPRESSLY STATED BY US) PROVIDED ‘AS IS’ AND ‘AS AVAILABLE’ FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.

INPUTCNC WARRANTS ONLY THAT THE ITEM(S) MANUFACTURED BY US WILL SUBSTANTIALLY MEET THE FEATURES OF THE DESIGN WITHIN THE LIMITATIONS OF THE CNC MILLING METAL TECHNOLOGY, CNC MILLING MACHINES MODELS, IMMEDIATELY AVAILABLE ONHAND FIXTURES ON CNC MILING MACHINES, AND CAM SOFTWARE. THE DESIGNERS MAINTAIN SOLE LEGAL RESPONSIBILITY FOR THEIR DESIGN SPECIFICATIONS AND PERFORMANCE OF THE ITEM THAT IS THE SUBJECT OF THIS TRANSACTION. INPUTCNC DOES NOT PROVIDE ANY WARRANTY ABOUT THE ITEM(S) THEMSELVES AND DOES NOT GUARANTEE THAT THE ITEM(S) WILL BE FIT FOR ANY PARTICULAR PURPOSES.

IN NO CASE SHALL INPUTCNC, OUR DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, INTERNS, SUPPLIERS, SERVICE PROVIDERS OR LICENSORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICE OR ANY PRODUCTS PROCURED USING THE SERVICE, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICE OR ANY PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICE OR ANY PRODUCT MANUFACTURED BY INPUTCNC, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE, EVEN IF ADVISED OF THAT POSSIBILITY.

IN NO EVENT SHALL INPUTCNC’S AGGREGATE LIABILITY FOR ANY DAMAGES EXCEED THE GREATER OF: (A) $100, OR (B) THE PRICE YOU PAID FOR THE ITEM AND ITS ORIGINAL SHIPPING COSTS, OR (C) THE AMOUNT YOU PAID INPUTCNC. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

 
13. Limitation of Liability
InputCNC shall not be liable for indirect, incidental, special, or consequential damages, including lost profits or production downtime.
InputCNC’s total liability for any claim arising out of or relating to the manufacture, sale, or use of parts shall not exceed the amount paid by Customer for the affected order.
 
14. Indemnification
Customer agrees to indemnify and hold harmless InputCNC from any claims arising from:
  • Customer Designs
  • Product end-use
  • Intellectual property infringement
  • Regulatory or legal violations

You agree to indemnify, defend and hold harmless InputCNC and our subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of (a) your breach of these Terms, (b) your use or misuse of, or access to, the Services or content of the Site, (c) the use of your Designs by you or a third party customers of yours, (d) infringement by you, or any third party using your account, of any intellectual property or other right, or (e) your violation of any law or the rights of a third party; in each case, including but not limited to resulting personal injury or property damage of any person or entity. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you under this Agreement, and you agree to assist and cooperate with us in asserting any available defenses.

 
15. Restricted and Regulated Products
Customer shall not submit Designs subject to ITAR, EAR, or similar regulations without prior written approval.
InputCNC does not manufacture parts intended for firearms, medical devices, aerospace systems, or safety-critical applications unless expressly agreed to in writing.
 
16. Force Majeure
InputCNC shall not be liable for delays or failure to perform due to events beyond its reasonable control, including supply chain disruptions, equipment failure, labor disputes, or acts of God.
 
17. Order of Precedence
These Terms govern and supersede any conflicting terms contained in Customer purchase orders or other documents unless expressly agreed to in writing by InputCNC.
 
18. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, with exclusive venue in the state and federal courts located therein. Any litigation, dispute, or claim arising out of or relating to these Terms shall be exclusively filed and resolved in the state and federal courts located within the State of Delaware, United States. The parties irrevocably consent to the personal jurisdiction and venue of such courts and waive any objections or defenses based on improper venue or inconvenient forum.
 
19. Entire Agreement
These Terms constitute the entire agreement between the parties and may be modified only in writing signed by both parties.
